SECTION 1 — OVERVIEW

Welcome to Nivorielle. These Terms of Service ("Terms," "Terms of Service," or "Agreement") constitute a legally binding agreement between you ("you," "your," or "Customer") and Nivorielle ("Nivorielle," "we," "us," or "our").

Nivorielle operates this online store and website, including all related content, features, functionality, products, services, applications, tools, and other offerings made available through the website (collectively, the "Services").

Our Services are hosted and powered by Shopify, which provides the technology and infrastructure that enables us to operate our online store. However, your purchases and transactions are made directly with Nivorielle, not Shopify.

By accessing, browsing, creating an account, placing an order, purchasing a product, submitting information, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and all policies incorporated into these Terms by reference, including our Privacy Policy, Return & Refund Policy, and any other policies posted on our website.

If you do not agree to these Terms, you must not access or use the Services.

These Terms contain important provisions concerning disclaimers, limitations of liability, indemnification, dispute resolution, and other matters affecting your legal rights. Please read them carefully.

SECTION 2 — ELIGIBILITY AND ACCOUNT ACCESS

By using the Services, you represent and warrant that:

You agree that all information you provide to Nivorielle will be accurate, current, complete, and not misleading, and you agree to update such information when necessary.

You are responsible for maintaining the confidentiality and security of your account credentials and for all activity conducted through your account, except to the extent caused by Nivorielle's failure to use reasonable security measures.

You may not sell, transfer, assign, sublicense, or otherwise provide your account to another person without our prior written authorization.

We reserve the right to suspend, restrict, or terminate accounts that we reasonably believe violate these Terms, applicable law, or the security or integrity of the Services.

SECTION 3 — PRODUCTS AND PRODUCT INFORMATION

We make reasonable efforts to ensure that product descriptions, photographs, colors, dimensions, specifications, pricing, availability, and other information displayed through the Services are accurate and current.

However, we do not guarantee that product images or colors displayed on your device will accurately reflect the actual color or appearance of the product, because display settings, screen technology, lighting, and other factors may affect appearance.

Product descriptions and specifications may be updated or changed from time to time.

We reserve the right, subject to applicable law, to:

Correct errors or inaccuracies;
Modify product descriptions;
Change product pricing;
Change product availability;

Nothing in these Terms excludes or limits any warranty or consumer right that cannot legally be excluded or limited.

When you submit an order through the Services, you are making an offer to purchase the selected products.

Submission of an order does not necessarily mean that Nivorielle has accepted the order.

Nivorielle reserves the right to accept, reject, limit, or cancel any order, in whole or in part, where permitted by law, including circumstances involving:

Product availability;
Pricing or listing errors;
Suspected fraud or unauthorized transactions;
Suspected resale or commercial purchasing;
Billing or payment problems;
Shipping restrictions;
Violations of these Terms; or
Other legitimate business or legal reasons.

Your order will be considered accepted when Nivorielle sends an order confirmation or otherwise expressly confirms acceptance.

If we cancel an order after payment has been processed, we will issue an appropriate refund to the original payment method, subject to applicable law.

We may contact you using the information associated with your order if we need additional information to process your purchase.

You agree that your purchases are for personal or household use unless Nivorielle expressly authorizes commercial purchases.

SECTION 5 — PRICES, TAXES, AND BILLING

All prices displayed through the Services are subject to change without notice.

Unless otherwise stated, the price applicable to your purchase is the price displayed at the time your order is submitted and confirmed.

Applicable sales taxes, shipping charges, customs duties, import charges, and other government-imposed charges may apply depending on your location and the nature of your purchase.

You are responsible for providing accurate billing and payment information.

By submitting payment information, you represent and warrant that:

The payment information belongs to you or you are authorized to use it;
The information is accurate and complete;
You are authorized to use the selected payment method; and
You authorize Nivorielle or its authorized payment processor to charge the applicable amount.

We may use third-party payment processors to process transactions.

Nivorielle does not store complete payment-card information when payment processing is handled by a third-party payment provider, except as otherwise disclosed in our Privacy Policy.

SECTION 6 — SHIPPING AND DELIVERY

Nivorielle will make reasonable efforts to process and ship orders within the timeframes stated on the Services or in your order confirmation.

Shipping and delivery dates are estimates unless expressly stated otherwise.

We are not responsible for delays caused by circumstances outside our reasonable control, including carrier delays, weather, natural disasters, customs processing, government actions, transportation disruptions, labor disruptions, or other force-majeure events.

However, nothing in these Terms limits any rights you may have under applicable law regarding delayed or undelivered merchandise.

For U.S. online orders, federal law generally requires sellers to have a reasonable basis for advertised shipping times and imposes requirements when an order cannot be shipped within the promised period or, when no period is stated, within 30 days.

If a shipping delay occurs that requires customer notification or consent under applicable law, Nivorielle will provide the notices and remedies required by law.

SECTION 7 — RETURNS, REFUNDS, AND EXCHANGES

Returns, refunds, and exchanges are governed by Nivorielle's Return & Refund Policy, which is incorporated into these Terms by reference.

Nothing in our Return & Refund Policy or these Terms limits any non-waivable rights or remedies provided by applicable law.

Nivorielle's name and logos;
Trademarks;
Product names;
Slogans;
Photographs;
Images;
Graphics;
Videos;
Audio;
Written content;
Product descriptions;
Website design;
Layout;
Software;
Original artwork;
Customer-facing materials; and
The selection and arrangement of such materials

are owned by Nivorielle, its affiliates, licensors, or applicable third-party owners and may be protected by copyright, trademark, trade dress, patent, trade-secret, and other intellectual-property laws.

Except as expressly permitted by these Terms, you may not:

Copy;
Reproduce;
Modify;
Republish;
Distribute;
Sell;
License;
Create derivative works from;
Publicly display;
Publicly perform;
Scrape;
Download for commercial use; or
Otherwise exploit

any portion of the Services without our prior written authorization.

Your use of the Services does not transfer ownership of any intellectual-property rights to you.

All rights not expressly granted to you are reserved by Nivorielle and its licensors.

SECTION 9 — TRADEMARKS

Nivorielle, associated logos, designs, product names, slogans, graphics, and other brand identifiers may constitute trademarks or trade dress of Nivorielle or its licensors.

You may not use Nivorielle's trademarks or other brand identifiers in a manner that:

Suggests sponsorship or endorsement;
Creates a false association with Nivorielle;
Causes consumer confusion;
Dilutes our trademark rights; or
Otherwise violates applicable law.

All third-party trademarks appearing through the Services belong to their respective owners.

Nothing in these Terms grants you a license to use any trademark without the owner's express written permission.

SECTION 10 — THIRD-PARTY SERVICES AND OPTIONAL TOOLS

The Services may include functionality, applications, payment processing, shipping services, analytics, advertising, customer-support tools, social-media functionality, or other services provided by third parties.

Third-party services may be subject to their own terms, policies, and privacy practices.

To the extent permitted by law, Nivorielle is not responsible for the independent acts, omissions, policies, security practices, availability, or performance of third-party providers.

Your use of third-party services is at your own discretion and risk.

The Services may contain links to websites or services operated by third parties.

These links are provided for convenience and do not necessarily constitute an endorsement, sponsorship, or recommendation by Nivorielle.

Nivorielle does not control third-party websites and is not responsible for their:

Content;
Accuracy;
Availability;
Security;
Privacy practices;
Products;
Services; or
Terms.

Your use of third-party websites is governed by the applicable third party's terms and policies.

SECTION 12 — SHOPIFY

Nivorielle uses Shopify to provide the technology and infrastructure supporting the Services.

Your purchase transaction is directly between you and Nivorielle. Shopify is not the seller of Nivorielle's products and is not responsible for the products or services sold by Nivorielle.

To the maximum extent permitted by applicable law, you agree that Shopify and its affiliates are not responsible for claims arising solely from products or transactions between you and Nivorielle.

Nothing in this section limits liability that cannot legally be limited or excluded.

SECTION 13 — PRIVACY

Your use of the Services is also subject to our Privacy Policy, which is incorporated into these Terms by reference.

Because Nivorielle's store is powered by Shopify, Shopify and other service providers may process information in connection with the operation, security, payment processing, analytics, fulfillment, and functionality of the Services. Shopify identifies its role in providing infrastructure and processing merchant/customer data under its applicable agreements and privacy documentation.

Please review our Privacy Policy for information about how personal information is collected, used, disclosed, retained, and protected.

SECTION 14 — CUSTOMER REVIEWS AND FEEDBACK

If you voluntarily submit reviews, comments, photographs, videos, suggestions, ideas, testimonials, or other content ("Feedback") to Nivorielle, you retain ownership of any rights you legally possess in that content.

By submitting Feedback, however, you grant Nivorielle a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, display, and publicly perform that Feedback for purposes including operating, marketing, improving, and promoting Nivorielle and its Services.

You represent and warrant that:

You own the Feedback or have the necessary rights to submit it;
Your Feedback does not violate another person's rights;
Your Feedback does not contain unlawful, defamatory, fraudulent, threatening, obscene, or infringing material;
Your Feedback does not contain malicious code; and
Your Feedback does not falsely impersonate another person or entity.

You are solely responsible for the content you submit.

Nivorielle may, but is not obligated to, monitor, moderate, refuse, edit, or remove Feedback that we reasonably believe violates these Terms or applicable law.

SECTION 15 — ERRORS AND INACCURACIES

The Services may occasionally contain typographical errors, pricing errors, inaccuracies, or omissions relating to products, descriptions, availability, promotions, shipping charges, or other information.

We reserve the right to correct errors and update information at any time.

If an error affects an order you have placed, we may, where permitted by law:

Contact you regarding the error;
Correct the information;
Cancel the affected order; or
Provide an appropriate refund.

We will not knowingly use an obvious pricing or product error to impose an unfair charge on a customer.

SECTION 16 — PROHIBITED USES

You may use the Services only for lawful purposes.

You may not use the Services to:

Violate any applicable law or regulation;
Commit fraud or facilitate fraudulent activity;
Infringe intellectual-property rights;
Impersonate another person or entity;
Submit false or misleading information;
Harass, threaten, abuse, or harm another person;
Introduce malware, viruses, or malicious code;
Interfere with the operation or security of the Services;
Attempt unauthorized access to accounts, systems, or data;

We reserve the right to suspend or terminate access where we reasonably believe that a user has violated these Terms or poses a security, legal, or operational risk.

The Services may restrict or prohibit unauthorized automated access.

Unless Nivorielle expressly authorizes such access in writing, no automated system, bot, crawler, scraper, AI agent, autonomous agent, or similar technology may:

Access or interact with the Services in a manner that violates these Terms;
Circumvent technical restrictions;
Evade security controls;
Misrepresent its identity;
Impersonate a human user;
Harvest or reproduce substantial portions of the Services;
Place fraudulent or abusive orders; or
Interfere with the operation of the Services.

Nothing in this section prohibits automated access that is expressly permitted by applicable law or expressly authorized by Nivorielle.

SECTION 18 — TERMINATION

Nivorielle may suspend or terminate your access to all or part of the Services where permitted by law, including where we reasonably believe you have:

Violated these Terms;
Engaged in fraudulent or unlawful conduct;
Attempted to compromise the security of the Services; or
Created a material risk to Nivorielle, its customers, service providers, or other users.

Termination does not eliminate obligations that arose before termination.

Provisions concerning intellectual property, payment obligations, indemnification, disclaimers, limitations of liability, dispute resolution, governing law, and other provisions that by their nature should survive termination will survive.

SECTION 19 — DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

EXCEPT AS EXPRESSLY PROVIDED BY NIVORIELLE OR REQUIRED BY APPLICABLE LAW, NIVORIELLE DISCLAIMS WARRANTIES AND CONDITIONS, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

THE SERVICES WILL ALWAYS BE AVAILABLE;
THE SERVICES WILL BE UNINTERRUPTED;
THE SERVICES WILL BE ERROR-FREE;
INFORMATION PROVIDED THROUGH THE SERVICES WILL ALWAYS BE COMPLETE OR CURRENT; OR
THE SERVICES WILL BE FREE FROM ALL SECURITY VULNERABILITIES.

Nothing in these Terms excludes, restricts, or modifies any warranty, guarantee, right, or remedy that cannot legally be excluded, restricted, or modified under applicable law.

SECTION 20 — LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Nivorielle and its owners, officers, directors, employees, affiliates, agents, contractors, licensors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost revenue, lost savings, loss of data, or business interruption, arising from or relating to your use of the Services or purchase of products.

To the maximum extent permitted by applicable law, Nivorielle's aggregate liability arising from or relating to a particular purchase or claim will not exceed the amount you actually paid to Nivorielle for the product or service giving rise to the claim.

This limitation does not apply to liability that cannot legally be limited or excluded, including liability that applicable law prohibits a business from disclaiming.

SECTION 21 — INDEMNIFICATION

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Nivorielle and its owners, officers, directors, employees, affiliates, agents, contractors, licensors, and service providers from third-party claims, damages, liabilities, losses, costs, and reasonable attorneys' fees arising from:

Your material breach of these Terms;
Your violation of applicable law;
Your infringement or violation of another person's rights; or
Your misuse of the Services.

Nivorielle will provide reasonable notice of an indemnifiable claim when practicable.

We may participate in or assume control of the defense of an indemnifiable claim, and you agree to reasonably cooperate with us.

You may not settle an indemnified claim in a manner that admits liability on behalf of Nivorielle or imposes obligations on Nivorielle without our prior written consent.

SECTION 22 — GOVERNING LAW AND VENUE

These Terms will be governed by the laws of the State of Iowa, without regard to conflict-of-law principles, except to the extent that applicable law requires otherwise.

Subject to any applicable mandatory consumer-protection laws or dispute-resolution requirements, any legal action arising from or relating to these Terms or the Services shall be brought in a court of competent jurisdiction located in Iowa, and you consent to such jurisdiction and venue.

Nothing in this section prevents a consumer from exercising rights or pursuing remedies in another jurisdiction when applicable law grants the consumer that right.

SECTION 23 — SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

SECTION 24 — NO WAIVER

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it later.

A waiver must be express and in writing to be effective.

SECTION 25 — ENTIRE AGREEMENT

These Terms, together with the policies expressly incorporated into them, constitute the entire agreement between you and Nivorielle concerning your use of the Services and supersede prior or contemporaneous agreements concerning the same subject matter.

If there is a conflict between these Terms and a specific policy governing a particular transaction, the specific policy will control only to the extent necessary to resolve the conflict.

SECTION 26 — ASSIGNMENT

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

Nivorielle may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, reorganization, sale of assets, change of ownership, or other business transaction, or as otherwise permitted by law.

SECTION 27 — CHANGES TO THESE TERMS

We may update these Terms from time to time.

When we make material changes, we will provide notice as required by applicable law and will update the "Last Updated" date above.

The updated Terms will become effective on the date stated in the updated Terms or notice.

Your continued use of the Services after the effective date of updated Terms constitutes acceptance of the revised Terms to the extent permitted by applicable law.

SECTION 28 — ELECTRONIC COMMUNICATIONS

By using the Services, you consent to receive electronic communications from Nivorielle concerning your orders, accounts, transactions, customer-service matters, and other matters relating to the Services.

You agree that electronic notices, disclosures, agreements, and communications satisfy any legal requirement that such communications be provided in writing, to the extent permitted by applicable law.
